These Terms of Service (“Terms”) govern access to and use of the 982x mobile application, website, and all related digital services and platforms (collectively, the “Platform”) operated by 982x LLC, a limited liability company (LLC) organized under the laws of the State of Wyoming, United States (“982x”, “we”, “us”, “our”).

By accessing the Platform, submitting an application, storing a payment method, or using any part of the services, you (“Member”, “User”, “you”, “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform.

1. PURPOSE AND NATURE OF 982x

982x is a private, application-only, performance-based status network and digital membership platform.

The Platform provides vetted members access to:

• curated business and lifestyle dinners

• exclusive in-person and digital events

• private member network

• premium partner deals, discounts, and benefits

• proprietary digital tools, dashboards, and features

• educational, networking, and lifestyle-based opportunities

982x is not:

• a public community

• a social media network

• a coaching program

• an educational institution

• a recruiting service

• an investment platform

• a financial advisory service

982x provides access, infrastructure, and environment only. Outcomes, results, revenue, partnerships, and personal success depend solely on the Member’s own actions.

Membership is selective, discretionary, and revocable at any time.

2. ELIGIBILITY & APPLICATION PROCESS

Membership is available only by application and approval.

By submitting an application, you confirm that:

• You are at least 18 years of age

• You have full legal capacity to enter binding agreements

• All information you provide is true, complete, and accurate

• You understand that acceptance is fully discretionary

982x reserves the unrestricted right to:

• accept or reject any application

• request additional information

• revoke approval at any time

• 
  

Approval does not create any employment, agency, partnership, fiduciary, or joint venture relationship.

Providing false or misleading information may result in immediate termination without refund.

3. MEMBERSHIP PLANS, BILLING & PAYMENT AUTHORIZATION

3.1 Membership Plans

Members may choose between the following membership plans:

Monthly Membership

• Billed monthly

• Automatically recurring

• Cancelable at any time

• Cancellation becomes effective at the end of the current billing cycle

Annual Membership

• Billed once per year

• Fixed 12-month billing cycle

• Includes approximately 20% price advantage compared to monthly billing

• Cancelable at any time

• Cancellation becomes effective at the end of the current 12-month billing cycle

• No early termination, partial refunds, or prorated credits

3.2 Stored Payment Credentials & Authorization

By submitting your payment details, you expressly authorize 982x to:

• securely store your payment credentials

• initiate recurring charges

• initiate conditional and delayed charges

• automatically charge your selected membership plan once your application is approved

You explicitly consent to the use of stored credentials and off-session billing.

You acknowledge and agree that:

• no additional confirmation is required prior to charging

• charges executed after approval are considered user-authorized transactions

• this authorization remains valid until your membership is fully terminated

3.3 Delayed & Conditional Charge Authorization (Critical Clause)

You explicitly agree and acknowledge that:

• your payment method may be charged at a later time after submission, once your membership application is approved

• such delayed charging constitutes valid authorization under applicable payment regulations

• the transaction shall be considered fully authorized, user-initiated, and legitimate

You irrevocably waive any claim that such charges are:

• unauthorized

• fraudulent

• improperly executed

• invalid

  
  

3.4 No Refund Policy & Waiver of Withdrawal Rights

By completing checkout, you:

• expressly request immediate access to digital services, and

• explicitly consent to the loss of any statutory withdrawal or cooling-off rights, where applicable under EU consumer law

Accordingly, all payments are strictly non-refundable, including but not limited to:

• membership fees (monthly and annual)

• event tickets

• dinners

• upgrades

• add-ons

• premium features

  
  

No refunds shall be issued for:

• unused time

• inactivity

• dissatisfaction

• partial periods

• scheduling conflicts

• travel disruption

  
  

3.5 Service Delivery & Recognition of Value

You acknowledge that service delivery begins immediately upon account activation and platform access.

Service delivery includes, but is not limited to:

• access to the Platform

• network exposure

• deal availability

• digital tools

• event access

• member communications

• backend infrastructure

Any of the following constitutes full service delivery and acceptance:

• logging into the Platform

• browsing any section

• accessing any content

• receiving communications

• interacting with platform features

3.6 Deals & Benefits — Permanent Refund Waiver

If you activate, redeem, or benefit from any deal, perk, or partner offer, you permanently waive:

• any refund claims

• any chargeback rights

• any billing disputes

982x maintains internal backend logs verifying deal and benefit usage.

3.7 Chargeback Abuse Protection

Initiating a chargeback without first contacting support constitutes abuse of payment systems and contractual breach.

982x reserves the right to:

• immediately terminate membership

• permanently ban the user

• block future access

• recover all dispute fees, penalties, administrative costs, and damages

4. CANCELLATION & TERMINATION

4.1 Member Cancellation

Monthly Membership:

May be canceled at any time. Cancellation becomes effective at the end of the current monthly billing period.

Annual Membership:

May be canceled at any time. Cancellation becomes effective at the end of the current 12-month billing cycle.

No refunds, prorated credits, or partial reimbursements are issued for unused time.

4.2 Termination by 982x

982x reserves the unrestricted right to suspend, restrict, or terminate any membership at any time, with or without cause, including but not limited to:

• breach of these Terms

• misconduct

• abuse of privileges

• cultural misalignment

• reputational risk

• harassment

• spamming

• unsolicited pitching

• poaching

• manipulation

• disruptive behavior

Termination shall not entitle the Member to any refund or compensation.

5. CODE OF CONDUCT & COMMUNITY STANDARDS

982x is built on high standards of performance, discretion, respect, trust, ambition, and personal accountability.

Members agree to:

• act professionally and respectfully

• maintain discretion and confidentiality

• avoid harassment, discrimination, or abuse

• preserve the integrity and culture of the network

Strictly prohibited:

• unsolicited selling or pitching

• spam messaging

• scraping or harvesting member data

• mass outreach

• harassment

• bullying

• recruiting members into competing products

• manipulation of social dynamics

• misuse of network access

Violations may result in immediate termination without refund.

6. EVENTS, DINNERS & EXPERIENCES

6.1 Paid Events

All dinners and events are separately priced, unless explicitly stated otherwise.

Event participation is subject to:

• availability

• capacity

• approval

6.2 Event Changes & Cancellation

982x reserves the right to:

• modify venues

• change speakers

• alter schedules

• cancel or reschedule events

If 982x cancels an event, ticket fees will be refunded or credited.

982x is not liable for:

• travel costs

• accommodation

• visa expenses

• opportunity costs

• personal scheduling conflicts

7. STRICT CONFIDENTIALITY & NON-DISCLOSURE

All Platform content, communications, member identities, internal systems, strategies, business models, structures, deals, and processes are strictly confidential.

Members agree to:

• not disclose confidential information

• not record sessions

• not distribute content

• not share screenshots

• not leak identities, locations, or event details

7.1 Contractual Penalty — Confidentiality Breach

Any breach of confidentiality shall result in a contractual penalty of €10,000 per incident, in addition to:

• injunctive relief

• claims for damages

• recovery of legal costs

982x reserves the right to assert higher damages if actual losses exceed this amount.

8. NON-SOLICITATION, ANTI-POACHING & NON-CIRCUMVENTION

8.1 Non-Solicitation & Anti-Poaching

During membership and for 24 months thereafter, Members shall not:

• solicit

• recruit

• hire

• pitch

• divert

any current or former 982x members, speakers, partners, or staff into competing:

• communities

• masterminds

• memberships

• networks

• paid platforms

Violation triggers a €15,000 contractual penalty per incident, plus damages.

8.2 Competitive Restriction & Non-Circumvention

During the term of membership and for 24 months thereafter, the Member shall not, directly or indirectly:

a) create, operate, advise, invest in, consult for, or promote any platform, community, network, membership, mastermind, or event series that is substantially similar in concept, positioning, structure, monetization model, or operational framework to 982x;

b) replicate, reverse-engineer, copy, or imitate the Platform’s:

• structure

• ranking systems

• deal ecosystem

• onboarding flows

• cultural frameworks

• operational systems

• member experience design

c) use knowledge, contacts, operational insight, strategic frameworks, or internal systems obtained through 982x to create or scale any competing product or service;

d) attempt to circumvent 982x’s business model, network structure, or monetization logic.

This clause shall not prohibit general entrepreneurship, consulting, agency work, or unrelated community-building, provided such activities do not directly compete with 982x.

8.3 Contractual Penalty — Competitive Violation

Any violation of this clause shall result in a €25,000 contractual penalty per incident, plus:

• injunctive relief

• claims for damages

• recovery of all legal costs

982x reserves the right to assert higher damages if actual losses exceed the contractual penalty.

9. REPUTATION PROTECTION

Members shall not:

• defame

• misrepresent

• publicly criticize in bad faith

• intentionally harm

the reputation, brand, business model, leadership, or operations of 982x.

Violations may result in:

• immediate termination

• permanent bans

• legal action

• damages claims

10. INTELLECTUAL PROPERTY

All content, systems, software, design elements, branding, copy, workflows, business logic, operational structures, methodologies, event formats, onboarding flows, and proprietary tools available through the Platform are the exclusive intellectual property of 982x LLC.

This includes, without limitation:

• software architecture

• UX/UI designs

• dashboards

• databases

• workflows

• copywriting

• community frameworks

• ranking methodologies

• deal ecosystem structures

• operational playbooks

Members receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal membership purposes.

Members shall not:

• copy

• reproduce

• distribute

• resell

• sublicense

• modify

• reverse-engineer

• scrape

• extract data

or otherwise exploit any intellectual property without express written consent.

11. DATA PROTECTION & COMMUNICATIONS

By using the Platform, you consent to:

• data collection

• processing

• storage

• analytics

• operational communication

in accordance with the Privacy Policy.

You agree to receive:

• transactional emails

• system notifications

• operational updates

• security alerts

• membership communications

Marketing communications may be unsubscribed. Operational communications cannot.

12. DISCLAIMER — NO GUARANTEES

982x provides access, infrastructure, environment, and opportunity only.

We do not guarantee:

• revenue

• profit

• success

• business growth

• partnerships

• investments

• leads

• visibility

All results depend solely on individual Member actions.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

982x shall not be liable for:

• indirect damages

• loss of profit

• loss of opportunity

• reputational damage

• business interruption

• third-party conduct

Total liability is strictly limited to fees paid in the last three (3) months.

14. INDEMNIFICATION

You agree to fully indemnify and hold harmless 982x, its owners, operators, affiliates, partners, and contractors from:

• claims

• damages

• losses

• liabilities

• legal fees

arising from:

• your conduct

• misuse of the Platform

• violation of these Terms

• breach of confidentiality

• violation of law

15. GOVERNING LAW & JURISDICTION

These Terms are governed exclusively by the laws of the Federal Republic of Germany.

Exclusive place of jurisdiction is Heidelberg, Germany, unless mandatory consumer law provides otherwise.

16. MODIFICATION OF TERMS

982x reserves the right to modify these Terms at any time.

Updated Terms become effective upon publication. Continued use constitutes acceptance.
